Rental Terms and Conditions – Little Em’s Event Décor
These Terms and Conditions (the “Terms” or “Agreement”) are entered into by and between Little Em’s Event Décor (“Little Em’s” or “we” or “us” or “our”) and the Customer identified in the applicable service order (“Customer” or “Client” or “you” or “your”). These terms govern the rental and related services provided by Little Em’s as described in the applicable service order (“Service Order”, or “Order”).
1.Agreement & Conflicts
In the event of a conflict between these Terms and a provision in the Service Order, the Service Order shall control.
2. Retainer & Payment Terms
A non-refundable retainer of $100 is required with all rental orders. This amount will be applied toward your total rental cost. Full payment of the remaining balance is due no later than 30 days prior to your event. If full payment is not received by this deadline, floral arrangements and décor will not be ordered, and Little Em’s Event Décor reserves the right to cancel the agreement.
3. Artificial Floral Disclaimer
All floral arrangements provided by Little Em’s are artificial. While they are designed to appear lifelike, no warranty is made regarding their realism.
4. Order Changes & Additions
Invoice adjustments may be made at the time the retainer is submitted. Additional rental items may be requested up to seven (7) days prior to the event, provided they are paid in full within twenty-four (24) hours of approval.
5. Setup &Relocation
Pricing includes delivery, setup, and pickup at one location only. Relocation of items (e.g., from ceremony to reception site) will incur additional fees. Only Little Em’s personnel are authorized to move or handle rental items unless otherwise approved in writing.
6. Venue Compatibility
You are responsible for confirming that the rental items will fit and comply with your venue’s space and regulations. Little Em’s is not liable for any limitations or restrictions imposed by the venue that prevent use of the rented items.
7. Delivery & Pickup Details
Standard delivery includes locations within 20 miles of our warehouse and includes setup and breakdown. Deliveries beyond this range may be subject to a $1.00 per mile fee, subject to variation based on setup and complexity. Contact us for a custom quote.
8. Pickup Times & Late Fees
Unless otherwise agreed in writing, all rentals must be picked up by 9:00 PM. Pickups after this time will incur additional late-night fees as follows:
9:30 PM — $25
10:00 PM — $50
10:30 PM — $100
11:00 PM — $150
11:30 PM — $200
12:00 AM — $250
9. Handling & Care of Rentals
Rental items must not be left outdoors overnight. Only Little Em’s Event Décor personnel may transport, dismantle, or move rented items unless prior written approval is provided.
The Client is fully responsible for the proper use and care of all rental items from the time of delivery until pickup, including responsibility for any damage, loss, or theft caused by event guests, venue staff, vendors, or other third parties.
Any damage beyond normal wear and tear will be charged to the Client’s card on file at replacement value. Credit card information is securely stored and deleted once all items are returned in acceptable condition.
10. Third-Party Décor
To ensure a cohesive aesthetic, you must notify us in advance of any third-party décor. We do not guarantee the appearance or quality of décor not provided by Little Em’s. Adjustments to integrate third-party items may be made at our discretion.
11. Venue Rules & Limitations
Little Em’s is subject to the rules and restrictions of your venue. It is your responsibility to confirm any such limitations. No refunds will be issued for items that cannot be used due to venue restrictions or failure to disclose requirements in advance.
12. Cancellation Policy
Cancellations made 30 days or more prior to the event may be eligible for a partial refund, excluding:
Payment processing fees
Time spent on communication and event planning
Proposal preparation
Bank and platform service fees for online rentals
Cancellations made within 30 days of the event are non-refundable. In cases of force majeure (e.g., war, natural disaster, pandemic), your retainer may be applied to a rescheduled event at no additional charge.
13. Right to Cancel by Little Em’s
We reserve the right to cancel this Agreement if, at any time, we determine we cannot fulfill our obligations. In such cases, you will receive a refund of any payments made, minus any actual costs incurred by us up to that point.
14. Indemnification
To the fullest extent permitted by applicable law, the Client agrees to indemnify, defend, and hold harmless Little Em’s Event Décor, its owners, officers, employees, contractors, and agents (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, losses, damages, suits, costs, and expenses (including reasonable attorneys’ fees) arising out of or resulting from:
the use or misuse of any rental items by the Client or their guests;
bodily injury (including death) or property damage arising from the event, except to the extent caused by the gross negligence or willful misconduct of the Indemnified Parties;
any violation of applicable laws, ordinances, venue rules, or third-party rights by the Client or their agents; or
any breach of these Terms by the Client.
This clause shall survive the expiration or termination of this Agreement.
15. Assumption of Risk
The Client acknowledges and accepts all risk associated with the use of rented items during the event, including any risk of injury to guests or damage to property. Little Em’s Event Décor shall not be liable for injuries or damages arising from misuse, unsupervised use, or interaction with rental items by guests, children, or vendors.
16. Force Majeure
Little Em’s shall not be liable for delays or failure to perform any obligation under this Agreement due to events beyond our reasonable control, including but not limited to acts of God, weather, fire, flood, pandemic, war, government actions, labor disputes, power outages, or transportation disruptions. In such cases, we will work in good faith to reschedule or provide alternate solutions.
17. Photography & Marketing Release
The Client grants Little Em’s Event Décor the right to photograph rental setups and use such images for marketing, portfolio, and promotional purposes, including social media and website use. If guests are included in photos, we will avoid identifying individuals unless separate consent is obtained.
18. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law principles. Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in Charlotte, North Carolina, in accordance with the rules of the American Arbitration Association.
19. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms, together with the Service Order, constitute the entire agreement between the parties. No verbal agreements or modifications shall be binding unless in writing and signed by both parties.
